       Is a partnership firm to conduct business between two or more people with a common name , in which the responsibility of each member firm ( called firmant ) is infinite , while the profits they make from the business will be shared . Similarly, if you suffer a loss, all of whom bear ( Basu Swastha , 1988:55 ) .

According Manulang (1975 ) is a firm alliance with the alliance to run the company under the name together . So there are some people who allied to run a company . Company name as generally is the name of one of his allies . The provisions of this firm regulated in article 16 of Code of Commercial Law ( Wetboek van Koophandel ) which reads " the Company under the firm is a partnership to run the company under the collective name " .

       Moreover article 18 of Code of Commercial Law firm says the core of which is that each member of each other and to bear all responsibility for the firm's agreement . To be clear , the rule is reinforced by Article 16 and 18 Code of Civil Law ( Bulgerlijk Wetboek ) which states that a partnership is an agreement in which two or more people agree to work together to put together something with the intention that the profits derived of the split between them .

       Although the members have unity in the name of the operations and the company has its own separate property of each member of riches , but in general the firm is not a legal entity , but rather as a designation of the members together . This is because each member with all his personal possessions are responsible for all the debts of the company. While the legal entity that has a sense of responsibility towards the members of the company's debts is limited to a wealth of legal entity concerned .

       To establish communion with the firm , then they can establish allied with making an official certificate . The certificate contains about what they agreed together , such as the name of the company they founded , the amount of capital each partner , etc. . Further certificates must be registered with the Registrar of the District Court and announced in the BNRI . The deed is to be registered establishment or an official overview of the deed . The official overview contains terms as follows :

1 . Name , first name , occupation and place of residence of the firmant ( allies )

2 . Designation of the name of the firm together with the information whether it is a general partnership or a limited company to run a branch .

3 . Appointment of the firm who is not authorized to sign for the fellowship .

4 . When the start and end of the fellowship will be . Official overview of the deed , as already said should be announced in the BNRI . If both are ignored ( do not register and announce ) , then this means that the alliance works in every field , fellowship established for an indefinite period and each ally entitled to sign and commit legal acts for the fellowship .
